AURO WELLNESS: WHOLESALE AND AFFILIATE PARTNERSHIP

Auro Pharmaceuticals is a corporation organized and existing under the laws of California with its office in La Habra, California. For the purpose of this agreement, the term “wholesalers” refers to the individual or legal entity who applies for and is accepted into the Affiliate Program. The term “Auro” refers to the sponsor of the Affiliate Program, Auro Pharmaceuticals and Auro Wellness. The term “Auro’s website” refers to the website that the Owner maintains at Aurowellness.com, Auroskincare.com, or Auropharmaceuticals.com. “ Merchandise means all products, merchandise, and stock that is offered by the Owner for sale through its website.

Auro reserves the right to approve, reject, or terminate any affiliate at any time. The Wholesaler will have no legal recourse against Auro for the cancellation or rejection of the Affiliate Program.
The Wholesalers will be fully responsible for all costs and expenses in maintaining and marketing the affiliate program.
Auro makes no representations and warranties regarding potential income that may result from participating in this affiliate program and specifically disclaims any and all warranties relative to earning potential from the Recipient affiliate status.
Customer Service
- Auro will be responsible for handling all customer inquiries, product orders, customer billing, and collection on the website.
- Prices are marketed as the current prices on the Auro website and Auro reserves the right to change pricing at any time.
- Auros only responsibility is to track orders from the recipient where the customer selects the recipient’s name in the referral section at checkout.
- Auro is not responsible for the failure to assign commissions if the customer fails to select wholesaler’s name in the referral section.
- Auro will have no obligation to provide the recipient with any specific information relative to any customer.
Distribution Grant For Wholesale: Auro grants the wholesaler non-exclusive rights to distribute Auro Pharmaceutical’s products are subject to all the terms and conditions set forth in this agreement. The recipient shall not directly or indirectly sell products on any website, or third-party selling platform. All products can only be sold at physical locations that were approved by Auro.
1. The Wholesaler shall not advertise any discount prices of products and only advertise consumer pricing that is on Auro’s website. No subscription pricing can be advertised in store locations.
2. All orders placed by the wholesaler are subject to Auro’s acceptance. Auro hereby reserves the right to reject any order, in whole or in part, for any reason. All orders must be paid in full at the time of purchase. May not change any packaging or bottling of the product.
Auro has the right to share any photos/videos that the wholesaler shares on social pages, websites, and/or any other marketing channels.
Compensation: The wholesaler will receive 20% of all sales that are made from customers that select their name in the referral section at checkout. Commissions will be calculated based on the gross sales price, but not including any shipping and handling, sales tax, and specific service fees. Commission will not be calculated based upon amounts that are attributable to credit card fraud, credits given to customers, bad debt, and returned goods. Auro will pay commission only upon collection by the Owner. The Wholesaler has no right to commissions until the applicable customer has paid in full.
Customer’s Provenance: All parties who make purchases through Auro’s website are deemed to be the Auro’s customers. Auro will have the right to contact these customers and send future marketing offers to them. The Wholesaler will have no right to commissions on subsequent purchases that may be made by these customers, except for subsequent purchases that have the referral name selected in the checkout window.
Trademarks and Copy Rights: The Wholesaler will have nonexclusive, right and license to use the trademarks, logos, and copyrighted material that the owner provides. The wholesaler may only use the images that the owner specified and makes available to the recipient at the area of its website that is specifically designated as approved images for the Affiliate Program. The recipient may not distribute, modify, reproduce, or amend these images in any way.
- The wholesaler grants Auro a non-exclusive right and license to use the wholesaler trademarks, business names, web page titles, slogan, logos, and copyrighted materials for the purpose of promoting and advertising recipient participation in the Owner Affiliate Program. The wholesaler represents and warrants to be the absolute, sole, and exclusive owner of all such materials and Auro of all trademark rights, copyrights, and other proprietary rights in and to the same.

Auro cannot guarantee product availability or terms of any price or special promotion or offer.

11. Liabilities

Auro hereby disclaims any and all warranties and liability related to any downtime or failure for users to be able to access its website. Auro shall not be responsible for and hereby disclaims any and all warranties related to its website, the affiliate program, the recipient’s participation in the affiliate program, the recipient’s ability to make any commissions or otherwise profit through participation in this affiliate program, including but not limited to any warranties of fitness for any particular purpose or merchantability, non-infringement, or any claim made based upon the owner’s course of dealing or usage of trade.
Auro is not responsible for any marketing or communication that the wholesaler shares with its customers.
Auro shall not be responsible for any direct or indirect damages of liabilities of any nature,including but not limited to incidental, consequential, indirect, or special damages, lost of profits, lost business opportunity or any other damages; regardless of where the owner was or have been advised of the possibility of the same and took no action to prevent the same.

12. Relationship of the Parties: The parties hereto are independent contractors and nothing contained herein shall be interpreted as creating any relationship other than that of independent contracting parties. The parties shall not be construed as being partners, joint venturers, shareholders, employer/employee, or agent/servant. The wholesaler has no power or authority to bind Auro to any obligation, agreement, debt, or liability. The Wholesaler shall not hold itself out as an agency or representative of Auro.

This agreement sets forth an understanding between the parties with respect to the subject matter hereof and supersedes any and all prior discussions, understandings, agreements, representations, warranties, or covenants between the parties related to the subject matter hereof.

The Wholesaler agrees to not make ANY claims with any Auro Wellness and Auro Skincare products. These products are not intended to diagnose, treat, cure, or prevent any disease. The Wholesaler agrees to sell products and promote products in accordance with this statement.

Auro Pharmaceutical reserves the right to change the terms at any time. New terms will be sent to the recipient for viewing and an agreement is assumed. If the receipt does not want to continue the partnership, they are able to reach out and cancel. The owner has the right to use up to 10 business days to finalize the cancellation.
